In Kirov, "Phil Bloom" is up for sale, and "Offshore" can be purchased separately.
As reported by Newsler.ru, the owner of the Kirov café chain is offering local restaurateurs the opportunity to purchase the business in its entirety for approximately 20 million rubles. This amount includes the lease rights to the premises, equipment, furniture, interior, and other assets.
If we look at the open data, the business appears more like an "expensive toy" or "image project": for the year 2025, according to Rusprofile, the net profit was at the level of 19 thousand rubles, with revenue of 44 million rubles. The service estimated the value at 221 thousand rubles.
Additionally, the registered trademark OFFSHORE DRINKERIA & BISTRO is being sold separately. According to its version, the owners allegedly value the trademark at 3 million rubles.
From bar to healthy lifestyle
The history of the project turned out to be unusual. Initially, OFFSHORE was known as a bar and restaurant with an alcoholic concept. It was opened in the city center in 2024 and became the "younger brother" of the conceptual restaurant Nobel.
This winter, there was considerable discussion about one of the partners possibly exiting the joint business and the subsequent, presumed, "division" of assets. As a result, the Offshore began to be managed by former young guard member Alexander Buldakov. It was also announced that the establishment would undergo a complete format change. In particular, there was a rejection of the previous philosophy and a complete pivot to the non-alcoholic healthy lifestyle project Phil Bloom.
The experiment turned out to be short-lived. There is a version that the bet on the healthy lifestyle did not work. Now the business is up for sale.
This creates a paradoxical situation: the OFFSHORE brand, which the owners themselves abandoned by completely changing the concept and name of the establishment, is now being offered to buyers as a standalone asset worth 3 million rubles.
Three million for a name that they themselves rejected?
The value of the trademark today raises the most questions and behind-the-scenes discussions. According to several sources interviewed by Newsler.ru, such a high valuation is explained not only by the brand's recognition in Kirov. One of the arguments allegedly is the possibility of protecting exclusive rights to the name OFFSHORE. As Newsler.ru found out, the registered trademark OFFSHORE DRINKERIA & BISTRO, owned by the Kirov LLC "Drinkeria," is valid throughout Russia.
At the same time, a restaurant named Offshore has been operating in the Kaliningrad region for several years, located in the Sobranie casino building within the Amber gambling zone. The establishment operates in the public catering sector — the same 43rd class of the International Classification of Goods and Services (ICGS) as the Kirov trademark.
According to Newsler.ru, the restaurant uses the designation Offshore through LLC "OFFSHORE 39," however, the key trademarks and infrastructure of the entire complex are associated with the casino operator — LLC "UNI GAMING COMPANY."
This, according to the sources, explains the interest in the trademark as a standalone asset. Moreover, there is a version circulating in conversations that potential claims against the Kaliningrad restaurant could be valued at around 12 million rubles. In other words, the buyer for 3 million rubles is not just acquiring a name, but a potential "legal lever" for a major player with billion-ruble turnovers.
Newsler.ru was unable to obtain documentary confirmation of such an assessment.
Offshore in the Kaliningrad region — a profitable business
Financial reporting shows that this is not a small regional café. By the end of 2025, the restaurant's legal entity — LLC "OFFSHORE 39" — reported a revenue of 181.2 million rubles, increasing this figure by 21% compared to the previous year. The net profit amounted to 42 million rubles, and the company's assets were 138.5 million rubles.
The casino operator Sobranie — LLC "UNI GAMING COMPANY" — looks even larger. In 2025, the company reported a revenue of 10.71 billion rubles, with assets exceeding 4.2 billion rubles and equity of about 3.8 billion rubles.
That is why, if a legal dispute ever arises, the potential defendant could be a large commercial complex, rather than a small regional establishment.
But it's not that simple
The mere existence of two restaurants with similar names does not automatically imply a violation of exclusive rights. To assess the prospects of any potential dispute, it is necessary to consider the date of registration of the trademark, the history of use of the designation, the existence of earlier rights, the coincidence of ICGS classes, the likelihood of brand confusion, and a whole range of other legal circumstances.
Therefore, a potential lawsuit for a multimillion ruble amount today appears more as one of the versions explaining the price of the trademark than as an established legal fact.
And this raises a logical question: if the trademark is indeed capable of bringing the rights holder multimillion compensation, why is it being offered for purchase at 3 million rubles, rather than realizing this potential independently?
Who is interested in buying
According to sources from Newsler.ru, representatives of the Kirov restaurant market have already shown interest in the restaurant complex. Among potential buyers are the projects "Lampa Grina," "Testoedov," and "Agata." There is currently no official confirmation of negotiations from these companies.
Perhaps the main question of this deal today is no longer: "How much is the closing restaurant worth?" Much more interesting is another: how much is the name of the restaurant really worth, from which its owners recently distanced themselves?
What does the calculation say?
We asked AI to calculate the probable market value of the trademark considering possible legal claims against the "namesake" from the Kaliningrad region.
According to the artificial intelligence calculations, the market value of the trademark OFFSHORE DRINKERIA & BISTRO from Kirov is currently estimated at approximately 1.5–3.5 million rubles. However, this range also takes into account the "Kaliningrad factor" as a potential opportunity for a large buyout.
If we remove the scenario of corporate blackmail and assess the mark realistically for market sale, its net value ranges from 350 to 650 thousand rubles.
Here is a simple and objective calculation of why this mark is worth exactly that much:
Costs for creation (cost approach): brand development (naming, logo, corporate identity) — 150–300 thousand rubles; state fees to Rospatent — 40–60 thousand rubles; services of a patent attorney — 40–70 thousand rubles. Total: 230–430 thousand rubles.
Market markup (added value for ready registration and time savings): 100–200 thousand rubles.
Real market result: if this mark were sold on the intellectual property exchange to an outside entrepreneur, the deal would close in the range of 400–500 thousand rubles. Everything above 1 million is exclusively a payment for the owner's unwillingness to change the sign of their operating establishment in Kirov or an attempt to play on the interest of a large Kaliningrad player.
